BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVES OR RELATED SERVICES PROVIDED BY ATLAS DAEDALUS LCC, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING Momentum Warehousing LLC AS YOUR SERVICE PROVIDER.
Momentum Warehousing LLC MAKES NO CLAIM TO THE QUALITY AND/OR CONDITIONS OF YOUR PRODUCTS WHEN SOURCED, SHIPPED, AND/OR RECEIVED BY Momentum Warehousing LLC AND/OR OUR AGENTS.
Momentum Warehousing LLC’S LIABILITY SHALL UNDER ALL CIRCUMSTANCES BE LIMITED TO $5000.00 PER SHIPMENT OR TRANSACTION FOR LOSS OR DAMAGE BY ANY CAUSE, INCLUDING NEGLIGENCE. THIS INCLUDES ALL GOODS STORED BY Momentum Warehousing LLC FOR CUSTOMER.
SHOULD ANY CLAIM IN AN AMOUNT IN EXCESS OF THE FOREGOING LIMITS OF LIABILITY BE ASSERTED AGAINST Momentum Warehousing LLC BY A THIRD PARTY FOR LOSS OR DAMAGE TO ANY GOODS HANDLED BY Momentum Warehousing LLC, THE SHIPPER, CONSIGNEE, AND CUSTOMER SHALL INDEMNIFY AND HOLD Momentum Warehousing LLC HARMLESS AS AGAINST ANY SUCH CLAIM. THIS PROVISION SHALL BE IN FORCE REGARDLESS OF THE CAUSE OF SUCH LOSS OR DAMAGE, INCLUDING NEGLIGENCE.
Momentum Warehousing LLC CANNOT BE HELD RESPONSIBLE AND SHALL REMAIN EXEMPT FROM ALL LIABILITY FOR PHYSICAL DAMAGE TO A SHIPMENT, OR LOSS CAUSED BY DELAY OF DELIVERY, WHEN CONDITIONS BEYOND THE CARRIER’S CONTROL ARE ENCOUNTERED DURING TRANSIT. SUCH CONDITIONS INCLUDE BUT ARE NOT LIMITED TO: EXTREME WEATHER AND/OR CHANGES IN TEMPERATURE, ACTS OF NATURE AND GOD; BREAKDOWN OR MECHANICAL DAMAGE; AND PORT CONGESTION PREVENTING THE TIMELY LOADING AND/OR UNLOADING OF GOODS, INCLUDING NEGLIGENCE.
Momentum Warehousing LLC CANNOT BE HELD RESPONSIBLE AND SHALL REMAIN EXEMPT FROM ALL LIABILITY FOR PHYSICAL DAMAGE TO ANY OR ALL STORED GOODS IN Momentum Warehousing LLC’S POSSESSION. SUCH CONDITIONS INCLUDE BUT ARE NOT LIMITED TO: FIRE, EARTHQUAKE, EXTREME WEATHER AND/OR CHANGES IN TEMPERATURE, ACTS OF NATURE AND GOD; BREAKDOWN OR MECHANICAL DAMAGE; AND WARE CAUSED BY THE MOVING, LOADING, AND/OR UNLOADING OF GOODS, INCLUDING UNDER CONDITIONS OF NEGLIGENCE.
IN CONNECTION WITH ALL SERVICES PERFORMED BY THE Momentum Warehousing LLC, CUSTOMER MAY OBTAIN ADDITIONAL LIABILITY COVERAGE, UP TO THE ACTUAL OR DECLARED VALUE OF THE SHIPMENT OR TRANSACTION, BY REQUESTING SUCH COVERAGE AND AGREEING TO MAKE PAYMENT THEREFOR, WHICH REQUEST MUST BE CONFIRMED IN WRITING BY THE Momentum Warehousing LLC PRIOR TO RENDERING SERVICES FOR THE COVERED TRANSACTION(S).
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Payment Policy and Scope of Momentum Warehousing LLC as Agent and Service Provider (“Payment Policy”)
With regards to international or domestic shipments, Momentum Warehousing LLC acts only as an agent and consultant for facilitating shipping, logistics, and customs for imports. You agree that You are responsible for the payment of your goods to your supplier and/or third parties. You agree that you are responsible for the payment of all shipping, logistics, customs, duties, taxes, tariffs, and/or port fees associated with your goods, this may include payment to Momentum Warehousing LLC for any payments made on your behalf.
Momentum Warehousing LLC reserves the right to charge a 10% late fee of your account balance in the event of nonpayment or partial payment for any or all services provided, following 30 days of nonpayment or partial payment for any or all services provided. Momentum Warehousing LLC reserves the right to charge a 20% late fee of your account balance, including any or all accrued late fees, in the event of nonpayment or partial payment for any or all services provided, following 60 days of nonpayment or partial payment for any or all services provided. A 20% late fee will be further assessed every 30 days of nonpayment thereafter until your account is brought current.
Momentum Warehousing LLC reserves the right to hold the release of any or all of your goods for nonpayment or partial payment for any or all services provided.
Following 90 days of nonpayment or partial payment, your items will be considered abandoned and Momentum Warehousing LLC may confiscate any or all of your goods in order to compensate for any or all services provided. Late fees will continue to accrue indefinitely until your account is brought current.
Momentum Warehousing LLC reserves the right to update this Payment Policy at any time with or without notice.

Termination/Access Restriction
Momentum Warehousing reserves the right, in its sole discretion, to terminate your access to the Site and the related services or any portion thereof at any time, without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of California and you hereby consent to the exclusive jurisdiction and venue of courts in California in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Momentum Warehousing as a result of this agreement or use of the Site. Momentum Warehousing’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of Momentum Warehousing’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by Momentum Warehousing with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Momentum Warehousing with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Momentum Warehousing with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that this agreement and all related documents be written in English.

Changes to Terms
Momentum Warehousing reserves the right, in its sole discretion, to change the Terms under which MomentumWarehousing.com is offered. The most current version of the Terms will supersede all previous versions. Momentum Warehousing encourages you to periodically review the Terms to stay informed of our updates.
